The Investment banking department of DnB NORD bankas provides a wide range of services:
The Securities Trading Division:
- Acts as intermediary in the activities of investment into equities of the Lithuanian companies on and off the National Stock Exchange;
- Acts as intermediary in the activities of investment into T-bills of the Government of the Republic of Lithuania through auctions organised in the Bank of Lithuania or on the National Stock Exchange;
- For its own account and with the customer's funds trades in foreign government securities and corporate equities as well as T-bills of the Government of the Republic of Lithuania issued in foreign currency;
- Provides advice on issues regarding investment into securities (excluding investment companies and pension funds);
- Provides stock custody services to its customers and handles their money allocated for securities transactions;
- Manages stock portfolios of its customers (no less than LTL 100 000 investment);
- Provides information on the Lithuanian capital market;
- Develops annual and half-annual reviews on the development of the Lithuanian macro-economic and capital market;
- Provides regular information on "Multex" web pages;
- Provides investment proposals to internal and external investors;
- Determines prices for shares of currently and officially listed as well as other companies;
- Analysis of a company's performance;
- Analysis of industries;
- Analysis of macro-economic environment;
- General advice on issues related to investment into stocks;
- Advice on stock portfolio formation;
- General information on the company, company groups.
These services are provided only by the Investment banking department or at any branch of DnB NORD bankas , upon advance signing of a Customer Service Agreement and Annex there indicating commission fees.
The existing customer of the Investment banking department of DnB NORD bankas willing to acquire securities on the National Stock Exchange or in Government securities auctions organised by the Bank of Lithuania or to sell the available securities shall submit orders to the Investment banking department . Submitting of orders is possible upon arrival at the Investment banking department of DnB NORD bankas , any branch of DnB NORD bankas , by fax or telephone.
Orders are executed only when there is enough money in the customer's account (in case of order to buy securities) or securities (in case of order to buy securities). The account of the Investment banking department can be credited by cash at branches of DnB NORD bankas or cash can be transferred by payment order into the account specified in the Customer Service Agreement. When the customer-owned securities are not accounted for in the Investment banking department of DnB NORD bankas , then the customer signs an order-agreement for accounting, based on which securities would be transferred to a personal securities account of the customer opened with DnB NORD bankas .
Agreement for Securities Portfolio Management can be entered with customers willing to invest no less than LTL 100 000, or with several customers, upon their request, whose total securities portfolio amounts to no less than LTL 100 000. When signing this agreement risk level assumed by the customer and expected profit are discussed, as well as cash flow projection is made (instalments, payments, their regularity).
The Corporate Finance Division:
- Provides advice on issues related to a company's capital structure;
- Performs a comparative analysis of the company's performance ratios;
- Co-operates in implementation of specific projects:
- Preparation of documents (issue prospect) for stock issue and representation of a company during stock registration with the Securities Commission;
- Organisation of stock subscription;
- Introduction of a company to potential investors;
- Commitment to acquire an undistributed share of issue;
- Providing loans for acquiring of new issue stocks or share stakes;
- Organisation of merger (acquisition) transactions between companies and selection of finance sources;
- Provision of integrated service to joint stock companies:
- Accounting of securities (opening of accounts, registration of stock transactions, services related to stock events);
- Organisation of meetings of shareholders;
- Representation at the supervisors of the stock market;
- Preparation of regular prospects - reports;
- Advice on issues related to public trading in stocks.
